    IDAHO STATE UNIVERSITY
    VENDOR LICENSE AGREEMENT

    THIS LICENSE AGREEMENT (AGREEMENT) IS NULL AND VOID IF NOT RETURNED WITH PAYMENT OF $_________________ BY MARCH 31, 2016. THE CERTIFICATE OF INSURANCE MUST ACCOMPANY THIS SIGNED LICENSE AGREEMENT.

    In consideration of the conditions hereinafter set forth, Idaho State University Native Americans United and Idaho State University (herein “ISU”), does hereby grant unto _______________________________, hereinafter referred to as the “VENDOR”, privileges based on VENDOR’S participation at ISU NATIVE AMERICANS UNITED POW WOW (herein “Event”), APRIL 1, 2016 FROM 7PM-11PM and APRIL 2, 2016, 1PM-11PM, at IDAHO STATE UNIVERSITY REED GYM.

    AGREEMENT:

    Only persons receiving written license agreement for VENDOR space will be allowed to participate. These persons are required to sign the written license agreement.

    REFUNDS: No refunds will be made on cancellations after March 31, 2016.
    TERM: All license agreements will expire with the close of the Event, 11pm, April 2, 2016.

    LICENSE AGREEMENT REVOKED: The Agreement may be revoked by ISU at any time with no liability to ISU. Violators of rules and regulations of any City, County, and State or Federal entities is cause for revocation of the Agreement automatically and without recovery or relief and the VENDOR agrees to vacate the grounds/Reed Gym occupied and to cease to do business, without damage and to forfeit all sums paid. ISU reserves the right to deny the letting of space to any VENDOR at its sole discretion.

    LIABILITY INSURANCE: VENDOR represents and warrants that it has insurance in place and will maintain it in effect throughout the term of the Agreement. VENDOR shall provide ISU a Certificate of Insurance from an insurer licensed and admitted in Idaho with an AM Best rating of A- or better, naming the State of Idaho and Idaho State University as additional insureds. The required insurance coverage is:
    • Commercial General Liability insurance with a limit of not less than $1,000,000 per occurrence and $2,000,000 aggregate
    • Automobile Liability Insurance with limits not less than $1,000,000 Combined Single Limit, including Non-owned and Hired auto coverage
    • Workers’ Compensation with all statutorily required coverages, to include Employer’s Liability at minimum limits of $100,000/$500,000/$100,000
    • Name on Insurance Certificate must match name on license Agreement

    INDEMNITY: VENDOR agrees to defend, indemnify, and hold ISU, the State of Idaho, its State Board of Education, and ISU Native Americans United, its members, employees, respective officers, agents, and volunteers (the Released Parties) harmless for any and all loss, claims, demands, causes of action, judgments, expenses, damages, fees, commissions and costs, including attorney’s fees, arising out of the breach of the Agreement, and/or acts of VENDOR, its employees, agents, servants, representatives, or contractors in performing its obligations. The Released Parties shall not be responsible for any loss, damage or injury of any person or property, or for any personal injury suffered by the VENDOR, his or its agents, employees, representatives, administrators, and assigns (the Releasing Parties) suffered by the VENDOR or to his property. All such risk to person and property is assumed by the VENDOR. The venue of any dispute shall be in Bannock County, Idaho and shall be governed by Idaho law.

    MERCHANDISE: ISU will authorize the letting of space for the sale of merchandise, but under no circumstances will merchandise of a questionable nature or of a demoralizing tendency be sold or in any manner tolerated at ISU. Any items whether animate or inanimate that are used for or are capable of causing harm or bodily injury are not allowed. ISU reserves the right to prohibit the selling of any item that infringes on the products of another VENDOR.

    SALES TAX: As is dictated by Idaho Tax Code, Title 63-3620C, each VENDOR must complete form ST-124, stating whether or not they have taxable items, and if they do, what their seller’s permit number is. The Idaho Sales Tax Act requires every retailer engaged in business in Idaho to obtain a seller’s permit from the State Tax Commission. Retailers are required to collect the six percent (6%) Idaho sales tax on each sale that is not exempt from tax. This tax immediately becomes the property of the State held in trust by the retailer. All VENDORS are responsible for paying the sales tax collected. Each VENDOR should display their seller’s permit so that State Tax Commission representatives can see it, without having to interrupt the VENDOR. Except for unusual circumstances, there is no charge for an Idaho seller’s permit. Contact the Idaho Sales Tax Commission office to obtain a permit at (208) 236-6244.

    ISU reserves the right to select the booth space for each VENDOR at its discretion. Booths and any attachments, stairs, platforms, etc., must stay within designated area. All aisles and walkways must be kept clear of any obstacles. All VENDORS should comply with fire code, particularly booths constructed of highly flammable material.

    COMPLY WITH ALL LAWS: All concessions are required to comply with local ordinances and codes, applicable state and federal statutes and regulations, whether existing now or in the future.

    SIGNAGE: All VENDORS can only post signs promoting their booth and the items sold therein. All signage must be for the VENDOR and cannot reflect sponsors or other advertising. Any additional promotion of other companies or products on or in VENDORS space is prohibited. All sales prices must be prominently posted.
